Terms and Conditions (Subscribers)

All users of HeavyEquipment.com.au can use this web site as a listing service and must provide accurate information about each listing at the time of providing this information.

All equipment sellers indemnify the directors of HeavyEquipment.com.au, staff and contractors who are engaged with HeavyEquipment.com.au from time to time to assist with the running of this web site, from any legal action taken against them for miss description.

Any subscriber requesting assistance to upload items into HeavyEquipment.com.au will be solely responsible for the checking of information including typical graphical errors, miss descriptions or missed information and acknowledge that they have the sole responsibility to remedy such inaccuracies in a timely manner or request HeavyEquipment.com.au to do so on their behalf. The sellers acknowledge and understand that at all times, the responsibility for any inaccuracies will lie with the seller.

Should inaccuracies that have been posted onto the HeavyEquipment.com.au web site, not be addressed in a timely manner, the seller can notify HeavyEquipment.com.au Senior Management who will assist to accelerate this process.

HeavyEquipment.com.au does not guarantee that the listing of any item on our site will sell. However it is deemed that the web site HeavyEquipment.com.au is an aid to assist in the marketing of equipment to a national and global audience.

Users of HeavyEquipment.com.au that misuse the site will be removed from the site without notification and compensation for damages may be sort by HeavyEquipment.com.au or other injured third parties.

Fees
- Free subscription and unlimited listings on the site of HeavyEquipment.com.au.
- All advertising and feature listing fees must be paid in advance.
- Subscibers can upgrade a listing to a Feature Listing to stand out from the rest for only $50 + GST ($55 GST inclusive) per machine.
- Subscribers can have their logo in the right hand banner column for an additional fee of $200.00 + GST ($220 inc GST) per month. This logo will link directly to all of the subscribers lisitngs on HeavyEquipment.com.au.
- Trading terms are payment in advance upon receipt of invoice by EFT, cheque or by direct debit unless otherwise agreed to in writing.

Governing Law
This agreement is governed by and must be construed in according to the law of Queensland. HeavyEquipment.com.au and the subscriber are subject to the jurisdiction of the courts of Queensland.

Intellectual property laws protect this web site
Copyright in the material available at this web site is owned by us and third parties and is permitted to be only used as described in this Legal Notice. You may:

A. Make temporary copies necessary to browse this web site on screen;

B. Unless otherwise stated, download or print a single copy of our copyright material for personal, private or research use; and

Refund policy:
It is HeavyEquipment.com.au intention to satisfy our customer with leading edge technology. HeavyEquipment.com.au will refund fully any customer who has a genuine issue with the service provided, where it can be proven to our satisfaction that the service that has been offered has not been provided.
The refund will be paid in 7 working days from the time HeavyEquipment.com.au has accepted that the service was not provided as agreed.

Termination:
The acceptance of these terms and conditions constitutes a legally binding agreement between the user and HeavyEquipment.com.au until terminated, which may done so at any time, by providing HeavyEquipment.com.au with a notice period of not less than ninety (90) days. Should the user take the decision to terminate this agreement, the user remains under the obligation to complete all and any transactions that the user may have entered into in relation to the site or services, subject to the terms and conditions of this agreement.

Terms and Conditions (Auctions)

HeavyEquipment.com.au believes that the following terms and conditions are vital to the successful operation of the Web Site Application and the high quality maintenance thereof for the benefit of all users.
The buyer acknowledges that they accept these Terms and Conditions by registering to bid on the web site and furthermore that HeavyEquipment.com.au at its sole discretion may terminate the buyer's account and seek other remedies as provided by law should the buyer fail to comply with the terms and conditions.

All users must register (only registered users can use the site) with HeavyEquipment.com.au by completing the registration form which is provided on the site and is required to provide the information requested by HeavyEquipment.com.au. The user must ensure that all information provided to HeavyEquipment.com.au is accurate, complete and not incorrect or misleading and must immediately notify HeavyEquipment.com.au of any changes to ensure this information remains current. When HeavyEquipment.com.au has notified users that their registration form has been received such user shall become a "Registered User".  As part of the registration process, the user will select a login ID and password and the user is solely responsible for the use of this information and for protecting the confidentiality of the login ID and password. The user agrees to notify HeavyEquipment.com.au immediately of any unauthorized use of any login ID and password or any other breach of security regarding the services.

All users of the Heavyequipment.com.au site are required to read and accept the following terms and conditions. By registering and agreeing to the terms and conditions (by checking the “tick box”) you hereby acknowledge that you have read, understood and accepted all of the “terms and conditions” and all terms incorporated by reference. If you decide to not accept these terms and conditions, you cannot use or access the site. To the extent applicable, these terms and conditions are incorporated into the agreement between a buyer and a seller for the sale of equipment. By indicating your acceptance to these terms and conditions you also accept and understand the terms and conditions that are associated with the “Authority to Act” PAMD form 24A required for conducting and auction through HeavyEquipment.com.au. Please ensure that you have signed the “Authority to Act PAMD form 24A” and read and understand the content.

www.HeavyEquipment.com.au (referred to as the "Site") offers services which include but are not restricted to, the HeavyEquipment “Rolling Auctions” or the HeavyEquipment “Scheduled Auctions” and collectively the services or auctions for equipment and other items (referred to as the "Equipment") which are provided by HeavyEquipment.com.au Pty Ltd, ACN: 40 115 632 294 to you subject to the following terms and conditions set forth in this Agreement.

It is understood and agreed that Heavyequipment.com.au at its sole discretion may change, modify, add or remove any portion of these terms and conditions, in whole or in part and without providing any notice to you, by posting such changes on the site. If you continue to use the site and the service provided by Heavyequipment.com.au after such changes are posted this action will constitute your agreement to the changes to the terms and conditions. These “Terms and Conditions” were last revised on the date nominated at the beginning of this agreement.

Only Buyers over the age of 18 years are permitted to register and bid on the Web Site and these services are available only to individuals or entities that can form legally binding contracts. By registering the buyer acknowledges that they are over 18 years of age and that they will be solely responsible for their use of the web site and may be treated as an adult by law for any infringement to these terms and conditions.

The Buyer acknowledges and agrees:
1. All bids are binding and the highest approved bidder shall be the purchaser, subject to the reserve price (if any) being met.
2. HeavyEquipment.com.au may at their discretion refuse to accept any bid from any bidder.
3. HeavyEquipment.com.au reserves the right to reject bids, whether winning or not, which it believes has not been made in good faith or that may be intended to manipulate the auction process, or which are prohibited by applicable law and no bid once accepted, shall be retracted.
4. No bidder shall advance a less sum or percentage at bidding than HeavyEquipment.com.au is willing to accept.
5. A bid shall be deemed to be accepted unless HeavyEquipment.com.au forthwith after it has been made declares its non-acceptance or dissent.
6. If any dispute or difference shall arise as to the identification of the highest bidder,  HeavyEquipment.com.au may re-open the bidding and resubmit the item commencing with the highest amount previously bid for the same, or they may at their sole discretion decide as to who is the highest bidder. In any event HeavyEquipment.com.au at its absolute discretion shall deem what is appropriate and their decision shall be final.
7. HeavyEquipment.com.au reserves the right to bid for and on behalf of the seller.
8. All items purchased on this site become the responsibility of the successful bidder on the fall of the hammer.
9. The terms of payment for this auction is Electronic Transfer, however all items remain on the premises with the seller until such time that funds have become cleared.
10. All items sold on this online auction site are sold on an as is where is basis and no warranties are given or implied unless stipulated in the individual item description.
11. Auction will be conducted on a GST inclusive basis, which means that GST has been added to the bid price and bid increments.
12. To register with HeavyEquipment.com.au you must use your correct name and address and a valid email address.
13. That HeavyEquipment.com.au owns the Intellectual Property Rights in the application used for the provision of services and owns the Intellectual Property Rights in any databases created from the provision of services.
14. Not to use the web site for any fraudulent or illegal purpose.
15. Not to spam other users on the web site.
16. When bidding and or purchasing an item from the web site, that the detail provided on the web site is intended as a guide ONLY and the user further acknowledges that they accept the responsibility of evaluating items prior to bidding.
17. To finalise the purchase, upon receiving notification from HeavyEquipment.com.au that buyer is the highest bidder by submitting payment as directed by HeavyEquipment.com.au.
18. That whilst HeavyEquipment.com.au will use its best endeavours to enforce its terms and conditions over the Seller of goods listed, HeavyEquipment.com.au serves only as an auctioneer for the Seller under the Property Agents and Motor Dealers act 2000 and furthermore HeavyEquipment.com.au is not under any liability to the Buyer in respect of any loss or damage
(Including consequential loss or damage) which may be suffered or incurred or which may arise directly or indirectly in respect of services supplied via the web site.
19. HeavyEquipment.com.au reserves the right to postpone or cancel any auction, or any sale resulting there from, in its own discretion, without notice. You acknowledge and agree that neither HeavyEquipment.com.au nor its personnel will have any liability for losses arising from or in connection with any withdrawal, cancellation or postponement of auctions or sales.
20. That collection of the goods purchased will be undertaken only once full and final payment of all cleared funds for the said goods has been deposited into HeavyEquipment.com.au trust account and furthermore the buyer acknowledges that once cleared funds have been received by HeavyEquipment.com.au the burden of ownership rests solely with the buyer.
21. That the Buyer is responsible for any delivery costs associated to the purchase or return of the item.
22. Failure by HeavyEquipment.com.au to enforce the terms of this Agreement at any time does not amount to a waiver of HeavyEquipment.com.au rights under these Terms and Conditions.
23. That the Terms and Conditions are governed by and construed according to the law of Queensland, Australia.
24. That if the Buyer is a company or trust the person registering on its behalf warrants that they are authorised and indemnifies HeavyEquipment.com.au in respect of any breach or default by the buyer herein.
25. Upon receiving notification from HeavyEquipment.com.au that the buyer is the highest bidder, pay a deposit equal to 10% (inc. GST) of the winning bid amount to HeavyEquipment.com.au trust account within 48 hours of the fall of the hammer and the balance be paid on or before the seventh day after the fall of the hammer.
26. Be granted a maximum period of seven (7) days from close of auction to ascertain and to advise HeavyEquipment.com.au if the item is deemed to be different to its description on the web site or if its condition is deemed to be unsatisfactory. The Buyer will not have any avenue for recourse after this seven (7) day period.
27. Finalise payment as directed HeavyEquipment.com.au OR alternately withdraw the buyer’s bid due to reasons described in and compliant with clause 26, by contacting the Auction Administrator in writing at which time any deposit paid will be refunded in full.
28. Acknowledge that items purchased with safety components or components modified or missing since the manufacturers' release (e.g. safety guards, canopies, shields, roll cages, etc) are sold for wrecking purposes ONLY and further acknowledges that the buyer will indemnify HeavyEquipment.com.au from any claims, legal proceedings or litigation arising from any incident arising in connection with the use of the items purchased.
29. Organise the collection and delivery (freight) from a company of their choice within the period of time specified by HeavyEquipment.com.au and furthermore accept the responsibility of insuring the goods through loading and transit and at all times indemnify and keep indemnified HeavyEquipment.com.au or their agents or employees or any other associated company against any liability in relation to accidental damage or injury incurred in relation to the relocating of any goods purchased on the web site.
30. A seller may deem a buyer's failure to claim property within a thirty (30) day period following the seven (7) day cooling off period, to be evidence of buyer's intention to abandon the property and any claim to it. If a buyer fails to claim property within the thirty (30) day period following the seven (7) day cooling off period, the seller may take action to advise other buyer's that have expressed interest in the property without liability to the original buyer for losses arising from or in connection with such action, including any appropriate steps under law to dispose of the property through whatever means that are available to the seller and the seller is entitled under these terms and conditions to retain any proceeds that are realised from the disposal of these items less any applicable fees and charges.
31. When purchasing vehicles through HeavyEquipment.com.au that require transfer of prescribed forms as required by the Property Agents and Motor Dealers Act, the buyer acknowledges and accepts that these forms will be supplied via electronic means.
32. Registered buyers acknowledge that they have expressly given permission to HeavyEquipment.com.au employers and staff to make contact by either a follow up telephone call, fax, e-mail, or private mail in order to keep them informed on the item they have viewed or similar type equipment that they believe the buyer would be advantaged in knowing was for sale.
33. From time to time items on the HeavyEquipment.com.au web site may have been withdrawn without prior knowledge to the staff of HeavyEquipment.com.au and while every care is taken to provide accurate information on this site, in the event that a seller has withdrawn an item from sale every effort will be made to assist the buyer to locate a similar item however no promise or guarantee will be made by HeavyEquipment.com.au.
34. Users who are buying or selling items through HeavyEquipment.com.au acknowledge that all of the terms and conditions on this site are relevant in any instance including purchasing an item by way of auction, tender, sale by negotiation or sale by private treaty.
35. To be fair and equitable to all parties, any bidding that falls within the last 5 minutes of closing time, will extend by 5 minutes until the bidding is finished.
36. From the fall of the hammer, the highest bidder under the reserve (if applicable) will have the first right of refusal to negotiate the item. Should this bidder not wish to negotiate, they can wave this right to allow other bidders to negotiate on the item.

Definitions:
a) "Auction" means an online auction, tender or sale organised and promoted by HeavyEquipment.com.au through the web site;
b) the singular includes the plural and vice versa, and a gender includes other genders;
c) the meaning of general words is not limited by specific examples introduced by "including", "for example" or similar expressions.
d) "Buyer" means the person/s registered in the customer database of HeavyEquipment.com.au;
e) "Intellectual Property Rights" includes trademarks, logos, service marks, trade names, business names, domain names, copyrights, designs, patents, inventions, processes and other technical know-how and other rights in industrial property;
f) “Related Body Corporate” has the meaning given to that term in the Corporations Act 2001 (Cth);
g) “Items” means information on goods and their prices displayed on the web site;
h) " HeavyEquipment.com.au " means HeavyEquipment.com.au Pty Ltd, ACN: 40 115 632 294 or any of its associated companies or entities;
i) “Business day” is any day that is not a Saturday, Sunday, or public holiday in Brisbane, Queensland.
j) “Services” means services provided by HeavyEquipment.com.au under the capacity of auctioneer as determined by the Property Agents and Motor Dealers Act 2000;
k) “Web” means the world wide web being a method of representing and obtaining graphical data and linking data items used by Internet users;
l)  “Web Site” means the Web site of HeavyEquipment.com.au where the application is provided and maintained by HeavyEquipment.com.au;
m) a reference to A$, $A, $AUD, dollar or $ is to Australian currency;
n) “GST” means Goods and Services Tax Act 1999;
o) a reference to a person includes an individual person, partnership, body corporate, association, governmental or local authority or agency or other entity;
p) “Security Interest” means (A) any lien, charge, pledge, security interest or encumbrance, howsoever arising or any other legal or equitable interest in equipment other than that of the seller; or any other claim adverse to the buyer taking free and clear title to the relevant equipment.
q) a reference to a document or instrument includes the document or instrument as novated, altered, supplemented or replaced from time to time;
r) “Losses” means all liabilities, damages, costs and expenses suffered or incurred by any person whether arising in contract, negligence, statute or otherwise;
s) Personnel” of HeavyEquipment.com.au means the officers, employees, contractors and agents of HeavyEquipment.com.au or any of its Related Bodies Corporate plus the officers, employees, contractors and agents of the contractors of HeavyEquipment.com.au or any of its Related Bodies Corporate;
t) “a reference to time is to Brisbane, Queensland time;

Access:
 The users agree that they will not use any automatic device or other process, software or routine to interfere or attempt to interfere with the proper working of the site.

Assignment:
 You may not assign this agreement without the prior written consent of HeavyEquipment.com.au.

Buyer / Seller action:
User’s, at their own expense, must do everything reasonably and necessary to give full effect to these terms and conditions.

Collection of Equipment:
All buyers are responsible for all costs relating to the loading and for transportation of machinery and equipment purchased including any costs associated with certificates and/or permits required to move the machinery or
equipment within or across state, territory or country borders. The seller agrees to have the machinery or equipment available for collection by the buyer or his agent upon notification from HeavyEquipment.com.au
that they are in receipt of the full amount of the cleared funds. The buyer may remove the Equipment from the seller's location only once the total purchase price including the transaction fee has been paid into the account
designated by HeavyEquipment.com.au and has been received by HeavyEquipment.com.au as cleared funds in that account. If a buyer has not removed the Equipment from the seller's location within thirty (30) business
days after the seven (7) day cooling off period the buyer will be responsible for directly paying the seller for any and all storage fees levied by the seller.

Copyright in the material available at this web site is owned by HeavyEquipment.com.au and third parties and is permitted to be only used as described in this Legal Notice. You may:

This includes all machinery and equipment fitness for a particular purpose.  HeavyEquipment.com.au does not and will not provide a warranty of any description and does not imply that the machinery or equipment offered through the site meets any of a buyers / users requirement or expectations or that any identified faults or defects will be repaired. Furthermore HeavyEquipment.com.au advises that any information that is provided by HeavyEquipment.com.au, wether written or oral is exclusive of any warranty and is void of any responsibility resulting from any misinterpretation or acts committed by other users. If any user is not satisfied with the site or the services offered through the HeavyEquipment.com.au site it is strongly recommended that you discontinue using the site and the associated services offered. Entire Agreement:
These terms and conditions set out the entire understanding between HeavyEquipment.com.au and all users of the site. No additional terms and conditions, whether express or implied, shall apply unless specifically agreed to by the parties concerned.

Fees and Commissions:
Sellers: No Cost

Buyers: A buyer’s transaction fee of 3% (Inc. GST) of the final selling price of the machine or equipment will be added to the final selling price.

Indemnity:
All users agree to indemnify and hold harmless HeavyEquipment.com.au and its Personnel from all Losses, claims and demands of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, to the extent arising out of or in any way connected with any breach or violation by you of these
terms and conditions or any use by you of the site or services or any disputes or damages arising out of your use of or contracts formed with you through this site or the services or your failure to pass full title to your equipment, free of all security interests, to the buyer of that equipment.

Inspections:
It is the seller’s responsibility to provide an accurate and concise condition report as well as the requested amount of photographs, plus any other information such as, risk assessments, service history, specification sheets etc on each piece of machinery or equipment that is offered for auction, tender or sale.

Invoicing:
Except where fees and commissions are deducted from sale proceeds any fees and commissions that are due to HeavyEquipment.com.au are payable on demand and may be deducted from any amounts HeavyEquipment.com.au owes to a seller or buyer or deducted from any amounts HeavyEquipment.com.au  holds on behalf of a seller or buyer.

Limitation of Liability:
HeavyEquipment.com.au
and it personnel and the sellers are not liable to the buyer for any losses what so ever associate with or arising from injury to persons or property which may have been caused by the use of the machinery or equipment obtained through HeavyEquipment.com.au. Furthermore HeavyEquipment.com.au does not accept any responsibility for any losses that may arise from but not limited to defects, indirect, incidental, consequential or economic losses that may be directly or indirectly related to the use of the HeavyEquipment.com.au site or the associated services.

Motor vehicles:
The term "motor vehicle" relates to the meaning given to it in section 15 of the Property Agents and Motor Dealers Act 2000 (Qld) and also includes all motor vehicles within the meaning given to that term in section 1 of the Fair Trading (Code of Practice for Motor Vehicle Traders) Regulations 1996 (Tas). If you are the buyer or seller of a motor vehicle on the HeavyEquipment.com.au site you acknowledge that these terms and conditions, the applicable buy price or other document that HeavyEquipment.com.au provides you in relation to the motor vehicle are in accordance with the HeavyEquipment.com.au statutory obligations and if applicable, the NT additional documentation, constitute the contract for the sale of that motor vehicle. HeavyEquipment.com.au will provide you with a copy of the required documentation which you must sign and return to HeavyEquipment.com.au within five business days of a request from HeavyEquipment.com.au. Registrable motor vehicles will be sold unregistered. All vehicles sold by HeavyEquipment.com.au will not have a statutory warranty. The buyer must ensure that the motor vehicle has all of the registration requirements for the relevant states or territories before using the motor vehicle.

Occupational Health and Safety Act.
The Occupational Health & Safety Act 1985 and Regulations, impose obligations in respect of safety for workers arising out of the DESIGN, MANUFACTURE AND SUPPLY of plant for use in the workplace.
HeavyEquipment.com.au warns buyers THAT NO PLANT OR EQUIPMENT OFFERED FOR SALE THROUGH THIS AUCTION, TENDER OR SALE IS FIT FOR USE IN THE WORKPLACE AND IT IS THE RESPONSIBILITY OF THE BUYER to ensure that it is brought to a standard necessary to comply with the Occupational Health & Safety Act 1985. Buyers are warned that breaches of the Act, incur very large penalties. In the interest of the health and safety for workers, safety inspections of plant and equipment purchased at auction are recommended to be performed by authorized people or companies.


Opening Bid Prices:
HeavyEquipment.com.au
reserves the right to set the opening bid prices which may be subject to variation prior to the commencement of an auction.

Ownership:
Sellers are responsible for providing machinery and equipment free of all encumbrances and security interests and must only provide machinery and equipment with free title for sale through the auction process and if a seller fails to comply with this or any other obligation under these terms and conditions, HeavyEquipment.com.au in its sole discretion may carry out searches of encumbrances or security interests and title searches to investigate the seller's title to the machinery or equipment and the existence of security interests on or in the equipment that may compromise the transfer of clear title in the machinery or equipment to a buyer.HeavyEquipment.com.au may charge the seller a fee for these searches. If the seller identifies that the machinery is encumbered the seller must advise HeavyEquipment.com.au of the details of all of those parties who have an interest in the machinery or equipment in question and provide HeavyEquipment.com.au with written authorisation from those interested parties to proceed to auction the items in question.

Prices:
All prices are listed according to their value in Australian dollars.

Privacy:
You must comply with the HeavyEquipment.com.au privacy policy.

Relationship:
Except where this agreement expressly states otherwise, it does not create a relationship of employment, trust, agency or partnership between the parties.

Remittance to the seller:
Once the payment has been received by HeavyEquipment.com.au for any given piece of machinery or equipment, remittance of proceeds to the seller may occur. HeavyEquipment.com.au shall remit the total purchase price less any commission or fees to seller for such machinery or equipment within ten (10) business days after the close of the auction. Payments will be made by either direct deposit into the seller's nominated Australian bank account (including by way of electronic funds transfer) or, if requested by the seller, by cheque (subject to additional fees for express postage or overnight courier, if required).

Service Integrity:
 HeavyEquipment.com.au makes every reasonable and practical effort’s to make its services and its site available at all times, however, it is not responsible for, nor liable for losses arising from or in connection with, any service interruptions, including interruptions that may affect the receipt, processing and acceptance of bids or other aspects of an auction, tender or sale.

Taxes and GST:
HeavyEquipment.com.au is registered for an ACN and GST. Its ACN is 40 115 632 294. Both sellers and buyers are responsible for GST and any other taxes applicable to any sales or purchases of machinery or equipment and recommend that sellers and buyers consult the Australian Taxation Office and/or seek the advice of a tax professional if they are uncertain as to their taxation obligations. At the time of registering sellers must advise HeavyEquipment.com.au of their GST arrangements and if they are registered as an Australian company or business they must provide their ABN or ACN numbers. All fees and commissions due to HeavyEquipment.com.au are stated on a GST inclusive basis. If a seller or buyer notifies HeavyEquipment.com.au on the registration form that they are a non-resident of Australia and are not registered or required to be registered for GST in Australia or that the machinery or equipment purchased through the auction process is to be exported and is, in which case, HeavyEquipment.com.au will not account for any amounts for GST.

Termination:
The acceptance of these terms and conditions constitutes a legally binding agreement between the user and HeavyEquipment.com.au until terminated, which may done so at any time, without notice or cause or if the user was to breach a terms and conditions of this agreement.
